Terms of Use

This End User License Agreement ("Agreement") is made and effective upon the date of download and installation of the image-converter (the "Software") by you (the “End User”). This Agreement is between image-converter (the "Licensor"), and the End User.

License Grant

The Licensor hereby grants the End User a nonexclusive, non transferable, limited license to use the Software in accordance with the terms and conditions of this Agreement. The End User may not copy, modify, distribute, transmit, display, publish, rent, sublicense, or create derivative works from the Software.

Restrictions

The End User agrees not to:

1. decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software;
2. rent, lease, sell, assign, or otherwise transfer rights to the Software;
3. use the Software on more than one computer at a time;
4. remove any copyright or other proprietary notices from the Software; or
5. use the Software in any manner that is in violation of any applicable law.

Term

This Agreement shall remain in effect until terminated by either party. The End User may terminate this Agreement at any time by uninstalling the Software.

Ownership

We retains all right, title, and interest in and to the Software and all associated intellectual property rights. The End User agrees to take all reasonable measures to protect the Licensor’s rights in the Software.

Disclaimer of Warranty

The Software is provided "as is" and without warranties of any kind, either express or implied. The Licensor hereby disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The End User assumes all risk associated with the use of the Software.

Limitation of Liability

In no event shall the Licensor be liable for any damages, including, but not limited to, direct, indirect, special, incidental, or consequential damages arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New York, without regard to any conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the End User and the Licensor relating to the Software and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

Modification

The Licensor reserves the right to modify this Agreement at any time. Any modifications shall be effective upon posting of the modified Agreement to the Licensor's website.

BY CLICKING ON THE "ACCEPT" BUTTON OR OTHERWISE INSTALLING OR USING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT.
